Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Narzim platform, websites, and related services (the “Services”) provided by Remedy Sys LLC (“Remedy Sys,” “Narzim,” “we,” or “us”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account.

2. Subscriptions, fees, and billing

Paid Services are billed according to the plan and order you select. Unless stated otherwise, fees are non-refundable, charges recur automatically, and you authorize us to charge your payment method. We may change pricing on renewal with reasonable notice.

3. Acceptable use

You agree not to misuse the Services. You will not:

• Violate any law or regulation, including healthcare and privacy laws
• Upload malicious code or attempt to disrupt or gain unauthorized access
• Reverse engineer, resell, or use the Services beyond your authorized scope
• Submit data you do not have the right to provide

4. Customer data, ePHI, and BAA

You retain ownership of the data you submit (“Customer Data”). You grant us a limited license to process Customer Data to provide the Services. Where the Services process ePHI, a Business Associate Agreement governs that processing and controls in the event of any conflict with these Terms.

5. Intellectual property

The Services, including all software, content, and trademarks, are owned by Remedy Sys LLC or its licensors and are protected by law. Except for the rights expressly granted to you, we reserve all rights.

6. Third-party services

The Services may interoperate with third-party products. We are not responsible for third-party services, and your use of them is governed by their own terms.

7. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. The Services do not provide medical advice; clinical decisions remain the responsibility of licensed professionals.

8. Limitation of liability

To the maximum extent permitted by law, Remedy Sys LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability will not exceed the amounts you paid for the Services in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Remedy Sys LLC from claims arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

10. Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate access for breach or risk to the Services. Upon termination, your right to use the Services ends; certain provisions survive, and data handling follows the applicable agreement.

11. Governing law

These Terms are governed by the laws applicable to Remedy Sys LLC’s place of business, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts in that location, except where mandatory local law provides otherwise.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
